Ethics as Basis of The Ikoku Services

Overview

Welcome toĀ the Founding and Governing Code of Ethics of The Alvan Ikoku Services, a division of The Alvan Ikoku Group LLC (the ā€œCode of Ethicsā€ and theĀ ā€œEthicsā€), which shall ethically guide, inform, and govern any and all your activity with, within, for, on behalf of, in relation to or otherwise pertaining to The Ikoku Services.

Please take the time to read the Code of Ethics below carefully.

Your Agreement

ā€”Ā With respect to the Agreement you enter into with The Ikoku Services via the Code of Ethics, you understand and adhere to the following:

Persons Adhering to Agreement
that the Code of EthicsĀ is to be adhered to by a wide range of associated individuals and communities ā€• including but not limited to board and committee members, leadership, management, officers, staff, employees, volunteers, representatives, agents, collaborators, partners, and visitors and users ā€• as they work in their capacity to establish, further develop, operate, collaborate with, carry out the mission and purposes of, and also visit, use and participate in the offerings of The Ikoku Services.
Applicability and Governance of Agreement
that the Code of Ethics ethically guides, informs, and governsĀ any and all of your access, actions, activity, communication, operation, participation, or other use in, with, for, on behalf of, in reference to, or otherwise pertaining to The Ikoku Services, the divisions, series, subsidiaries, and affiliates, and and the Products and Services.
Entry and Continuation of Agreement
that whenever you engage in any access, action, activity, communication, operation, participation, visit, and other use, in any way, pertaining to The Ikoku Services, the divisions, series, subsidiaries, and affiliates, and the Products and Services, and that you agree to abide by, assist, fully cooperate with and not interfere with The Ikoku Services and its sole Founder and Owner, Alvan Azinna Chibuzo Ikoku in ensuring the compliance with and fulfillment of the Code of Ethics.
Direct and Indirect Entry and Continuation of Agreement
that whenever you engage in the above described activities directly or indirectly ā€” whether engaged in through The Ikoku Services, the divisions, series, subsidiaries, and affiliates, and and the Products and Services; or through persons and entities working with The Ikoku Services, the divisions, series, subsidiaries, and affiliates, and and the Products and Services; or working with such engaged activities and resulting media, materials, or otherwiseĀ ā€” you are also agreeing to the Code of Ethics as well as the associated Codes and Policies that collectively constitute The Ikoku Services User Agreement and Code of Conduct, as they are amended from time to time.
Binding Nature and Validity of Agreement
that you are also thus indicating that you understand the Code of Ethics and the Codes and Policies, that you intend them to be the legal equivalent of a signed, written contract, equally binding, and that you accept such Code of Ethics and Codes and Policies and agree to be legally bound by them (your ā€œAgreementā€).
Agreement On Behalf of Organization
that if you are engaging in any of the above described activities, communication, or uses for or on behalf of an organization, you are agreeing to this Agreement on behalf of that organization, and represent and warrant that you can do so.
In Case of Non-Agreement or Inability to Honor
that you will not engage in any of the above described activities, communication, or uses if you do not agree to all of the Code of Ethics or the Codes and Policies or if your jurisdiction will not honor them.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Ikoku Services, any areas, offices, parts, sections, or assets or properties of The Ikoku Services, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification.

Your Consent to The Ethics

ā€”Ā With respect to your ability to agree and consent to the Code of Ethics, you represent and warrant the following:

Your Power and Authority
that you have the power and authority to enter into the agreement entailed in the Code of Ethics, including, where applicable, the power and authority to enter into the agreement on behalf of an organization.
Required Age or Permission and Supervision
that you are at least eighteen (18) years old or if younger at least thirteen (13) years old and engage in activity, communication, operation, participation, visit, or other use in relation to The Ikoku Services, the divisions, series, subsidiaries, or affiliates, and the Products and Services with the permission and supervision of an adult parent or guardian.
Reading and Understanding
that you have read and understood the Code of Ethics.
Voluntary Nature of Consent
that you understand your consent to be voluntary in nature.
Agreement and Consent
that you consented to and agreed to be legally bound by the Code of Ethics.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Ikoku Services, any areas, offices, parts, sections, or assets or properties of The Ikoku Services, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree that your consent meets the conditions, principles, and requirements for consent, as delineated and described in a these Codes and Policies ā€” for the specific purpose of consenting to this Policy, the Agreement and the Codes and Policies.

Your Abiding by The Ethics

ā€” You represent, warrant, and covenant that, given the above attestation about your consent to the Code of Ethics, you have read, understood, consented to, and agreed to be legally bound by and abide by the Code of Ethics and the Codes and Policies, as they are amended from time to time, and in their entirety without modification.

Your Understanding of Ethics

ā€” You represent, warrant, and covenant that, given the above attestation about your consent and adherence to the Code of Ethics, you have also read, understood, consented to, and agreed to be legally bound by and abide by understandings of ethics as defined in all applicable guidelines, law and regulation, by The Ikoku Services in the Codes and Polices, and as specifically delineated below, which expressly emphasize provisions for the most rigorous and robust conceptions of dignity, humanity, independence and respect, and the most rigorous and robust protections for privacy, confidentiality, civil liberties and minority rights.

Your Commitment to Understandings

ā€” You also represent, warrant, and covenant that, given the aforementioned attestation, yourĀ commitment to this understanding of ethics shall entail the following:

Basis for Your Actions, Activity and Decisions
its basis for any activity you engage in with respect to The Ikoku Services ā€” includingĀ the divisions, series, subsidiaries, and affiliates, as well as the Products and ServicesĀ ā€” and that any such actions and decisions you engage in shall be free of any incompatibility with, inconsistency with, or violation of the Code of Ethics or any equivalent or applicable guidelines, laws, policies, provisions, or regulations.
Commitment to Ethics Rights and Protections
that this commitment include but not be limited to upholding everywhere and for every person at The Ikoku Services the most humane, protective, respectful, robust and strictest interpretations of ethics rights and protections, including as such rights and protections are provided for in this Policy, in the Codes and Policies, in the Founderā€™s Agreement, and in applicable guidelines, regulation, and law.
Commitment to Respectful and Protective Practices
that you respectfully assist solely by duties described below in this Policy and in no way interfere with or impede the reasonable and respectful efforts taken by The Ikoku Services to translateĀ the above commitments into practices for developing and maintaining protections pertaining to ethics; for determining compliance with those protections; and for fulfilling, respecting, and safeguarding persons, properties, and interests relating to ethics, ethics processes,Ā ethicsĀ principles, ethicsĀ rights, and their protections, including but not limited to those delineated in the Code of Ethics and the Codes and Policies.
Commitment to Protections Following and Ahead of the Law
that you also respectfully assist solely by duties described below in this Policy and in no way interfere with or impede the reasonable and respectful efforts taken by The Ikoku Services to adopt a coupled approach to legal and substantive protections for ethics derived, in part, from the provision of rights and protections via advances in law and regulation, but also often beyond what the law provides for and protects.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Ikoku Services, any areas, offices, parts, sections, or assets or properties of The Ikoku Services, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification.

Your Duty to The Ethics

With respect to your attendant duty to the Code of Ethics ā€” and your legally binding agreement to not diminish, interfere, or violate, in any way, its principles, protections, requirements, or rights ā€” you represent and warrant that you understand and shall adhere to the following:

Refraining from Any Intentional Breach or Violation
avoiding, refraining from, and stopping any access, action, activity, communication, operation, or other use and any collaboration, collusion, coordination, planning, or other preparation you or any person engage in that may encourage, result in, or otherwise foster any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the Code of Ethics; and that may encourage, result in, or otherwise foster any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to ethics guidelines, laws, policies, provisions, or regulations, or other ethics protections or rights of The Ikoku Services and the sole Founder, Owner, and President.
Refraining from Any Unintentional Breach or Violation
avoiding, refraining from, and stopping any access, action, activity, communication, operation, or other use and any collaboration, collusion, coordination, planning, or other preparation you or any person engage in that may encourage, result in, or otherwise foster any unintentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the Code of Ethics; and that may encourage, result in, or otherwise foster any unintentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to ethics guidelines, laws, policies, provisions, or regulations, or other ethics protections or rights of The Ikoku Services and the sole Founder, Owner, and President.
Reporting Any Intentional Breach or Violation
reporting ā€” directly and specifically to Alvan Azinna Chibuzo Ikoku, the sole Founder, Owner, and President of The Ikoku Services ā€” any access, action, activity, communication, operation, or other use and any collaboration, collusion, coordination, planning, or other preparation you or any person engage in that may encourage, result in, or otherwise foster any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the Code of Ethics; and that may encourage, result in, or otherwise foster any intentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to ethics guidelines, laws, policies, provisions, or regulations, or other ethics protections or rights of The Ikoku Services and the sole Founder, Owner, and President.
Reporting Any Unintentional Breach or Violation
reporting ā€” directly and specifically to Alvan Azinna Chibuzo Ikoku, the sole Founder, Owner, and President of The Ikoku Services ā€” any access, action, activity, communication, operation, or other use and any collaboration, collusion, coordination, planning, or other preparation you or any person engage in that may encourage, result in, or otherwise foster any unintentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to the Code of Ethics; and that may encourage, result in, or otherwise foster any unintentional breach, diminishment, disruption, impediment, interference, or other violation pertaining to ethics guidelines, laws, policies, provisions, or regulations, or other ethics protections or rights of The Ikoku Services and the sole Founder, Owner, and President.
Determination of Compliance
not diminishing or interfering with, in any way, the ability, opportunity, and sole discretion and rights of The Ikoku Services and the sole Founder, Owner, and President, Alvan Azinna Chibuzo Ikoku, to determine compliance with the Code of Ethics and to have their decision be final and binding and not subject to challenge or appeal.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Ikoku Services, any areas, offices, parts, sections, or assets or properties of The Ikoku Services, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, and in these Codes and Policies, in their entirety without modification.

Your Accordance with Mission

ā€” You represent, warrant, and covenant that, given the above attestation about your consent to the Code of Ethics, the Codes and Policies, and The Ikoku Services User Agreement and Code of Conduct, you ensure that your abiding by and adhering to their conditions, policies, principles, requirements, and rights shall further remain in accordance with the founding mission and purposes of The Ikoku Services, without incompatibility, as described and delineated in the Codes and Policies and the Founderā€™s Agreement.

Further Considerations

Your Knowledge and Agreement

The Ikoku Services strongly recommends you develop and maintain your knowledge of all the Codes and Policies, and so asks that you read, understand, and regularly visit this section and other communications regarding the Founding Code of Ethics, as well as the Codes and Policies. The Ikoku Services takes your continued access, activity, communication, engagement, operation, participation, and other use or visiting of the Products and Services, as active indication of your knowledge, understanding, and legally binding acceptance of and agreement to this Policy as well as the Codes and Policies.

Your Duty to Company and Division Integrity

With respect to your attendant duty to company, division and organizational integrity ā€” and your legally binding agreement to not diminish, interfere, or violate, in any way, its principles, protections, requirements, or rights ā€”Ā you represent and warrant that you understand and shall adhere to the following:

Your Duty to Policy
To protect the company, division and organizational integrity of The Ikoku ServicesĀ and The Ikoku Group ā€” as well as the properties, rights, and protections of the company division and its official persons ā€” The Ikoku ServicesĀ requires all natural and legal persons concerned to read, understand, abide by and, where applicable, sign contracts and agreements delineated and described in the Policy on CompanyĀ and Division Integrity.
Your Acceptance of Policy
The Ikoku ServicesĀ reminds you that the Policy on CompanyĀ and Division Integrity forms part of The Ikoku ServicesĀ User Agreement and Code of Conduct. Thus, The Ikoku ServicesĀ takes your continued access, activity, communication, engagement, operation, participation, and other use or visiting as active indication of your legally binding acceptance of this Policy as well as the Codes and Policies.
Your Acceptance of Sole Ownership
Furthermore, you represent, warrant, and covenant that, given the above, your continuation in using or visiting, in any way, The Ikoku Services, any areas, offices, parts, sections, or assets or properties ofĀ The Ikoku Services, any areas, offices, parts, sections, or assets or properties of the divisions, series, subsidiaries, or affiliates, as well as any areas, offices, parts, sections, or assets or properties of the Products or Services, is an active indication of your legally binding acceptance of the sole administration, control, management, and ownership of The Ikoku ServicesĀ by the Founder, Alvan Azinna Chibuzo Ikoku, as further described in the Policy on Company and Division Integrity.

And you further legally accept and agree that no application, interpretation, judgment, or other compliance, proceeding, or reading from, of, with, or otherwise relating to the Founding Ethics, the Codes and Policies, or any equivalent code, policy, or other document or material shall, in any way, entail any abrogation, diminishment, interference, or violation pertaining to any of the terms, conditions, principles, requirements, rights ā€” including the attendant properties and protections ā€” of company and organizational integrity.

Provision

Along with the above key principles, the Code of Ethics requires your adherence to correlative requirements delineated below:

Mission

Mission.Ā To carry out the founding mission and purposes of The Ikoku Services in pursuit of private and public interest. To have all activities and operations support the mission and purposes. To have all who work for or on behalf of The Ikoku Services understand and be loyal to said mission and purposes. And to have the mission and purposes be responsive to the communities served by The Ikoku Services and be of value to the society at large.

Integrity

Integrity. To act with integrity in all activities within, with and with respect to The Ikoku Services. To ensure the organizational integrity of The Ikoku Services. And to promote at any official work for The Ikoku ServicesĀ a working environment that values integrity.

Respect

Respect.Ā To hold the fullest and most humane understanding of respect for persons to be essential to the formation, management, and operations of The Ikoku Services. To treat people of The Ikoku ServicesĀ as individual persons and human beings fully enjoying respect and its substantive ethical benefits, including autonomy, dignity, humanity, integrity, and reciprocity. To also have the communities of The Ikoku ServicesĀ ā€” particularly those they help create, develop, foster, and support ā€” emanate from and be informed by the above understanding of respect.

Governance

Governance.Ā To have a governing structure ā€” appointed, approved and administered by the Founder, Alvan Azinna Chibuzo Ikoku ā€” that is responsible for setting the strategic directions of The Ikoku ServicesĀ as well as oversight of its finances, operations, and policies.

Responsible Stewardship

Responsible Stewardship.Ā To manage all assets and properties of The Ikoku Services both responsibly and prudently ā€” as described in the Founderā€™s Operating Agreement of The Alvan Ikoku Group LLC, and in fiduciary duties delineated in the constituting and governance documents of The Ikoku Services and the divisions, series, subsidiaries, and affiliates. And to also guide the official persons and communities of The Ikoku Services in accordance with this Founding and Governing Code of Ethics.

Independence

Independence.Ā To hold independence to be crucial to the fulfillment of the founding mission and purposes of The Ikoku Services. And to have independence be central to the development, role, and understanding of private and public benefit commerce to be shared by The Ikoku Services and the divisions, series, subsidiaries, and affiliates.

Nongovernmental, Nonpolitical, Nonreligious, Private

Nongovernmental, Nonpartisan, Nonpolitical, Nonreligious, Private.Ā To hold the nongovernmental, nonpartisan, nonpolitical, nonreligious and private nature and status of The Ikoku ServicesĀ to be essential to fulfilling the founding mission and purposes of The Ikoku Services. To have such nature and status entail following faith-based commitments and principles delineated and described in the Founderā€™s Agreement and the Codes and Policies. And to also have such nature and status be a central basis for efforts to promote the private and public interest across the complex affiliations, associations, states, and nations that constitute Africa, its global diasporas, and its connected or shared societies in which the communities of The Ikoku ServicesĀ reside.

Confidentiality and Privacy

Confidentiality and Privacy.Ā To foreground the most robust protections of confidentiality and privacy as central inspirations for the formation of The Ikoku Services. To consider the confidentiality and privacy of personal biospecimens, data, and information as basic, civil and fundamental rights, and to further consider the privacy of personal life, including but not limited to aspects of life pertaining to body, conversation, home, mind, and thought, as absolute basic, fundamental and natural freedoms, liberties, and rights ā€” all of which are to be guaranteed, safeguarded as well as essential to the fulfillment of the founding mission and purposes of The Ikoku Services.

Ethics, Freedoms, Liberties

Ethics, Freedoms, Liberties.Ā To take as centrally important the practice of ethics as the examination and analysis of how to determine and do good. To also hold as centrally important the recognition and safeguarding of autonomy, dignity, humanity, and respect as well as the basic, fundamental and natural freedoms, liberties, and rights accorded to all human beings. And to furthermore hold the robust protection of minority rights to be essential to the fulfillment of the founding mission and purposes of The Ikoku Services.

Reasonable Transparency

Reasonable Transparency.Ā To also provide, where required, reasonable and timely information to the communities served by The Ikoku Services. To be responsive in a timely manner to reasonable requests for information. And to have such published information accurately and honestly reflect policies and practices. Solicitation materials and financial, organizational and program reports will be accurate and complete in all required respects.

Inclusiveness and Diversity

Inclusiveness and Diversity.Ā To maintain a founding policy of promoting inclusiveness and diversity in the working environments and communities of The Ikoku Services. To take genuine and meaningful steps to promote inclusion in recruitment, hiring, promotion, and retention, and in the communities to be reached, served and benefitted by The Ikoku Services.

Program Evaluation

Program Evaluation.Ā To regularly and respectfully review program effectiveness, to develop lawful, respectful, and previously and expressly consented mechanisms to do so, and to in this manner incorporate lessons learned into existing and future programs.

Informed, Consented and Ethical Research and Care

Informed, Consented and Ethical Research and Care.Ā To associate with, engage in, and support only activities that meet the most robust definitions of informed, consented and ethical research and care. And to have The Ikoku ServicesĀ associate with, engage in, and support only care, research, and equivalent work that abide by the most humane and most respectful interpretations of the Belmont Report, the Declaration of Helsinki, the Nuremberg Code, the United Nations Declaration of Bioethics and Human Rights, and applicable guidelines, laws, and regulation.

Legal Compliance

Legal Compliance.Ā To remain knowledgeable of and comply with all applicable laws, regulations, and international conventions, subject to full access to and benefit of legal, financial and other professional counsel that is not compromised by the efforts of any individual or entity, private, governmental or otherwise.

Accessibility

Accessibility. To endeavor that the communities The Ikoku ServicesĀ benefits, fosters, reaches, and serves become available to all who abide by this Code of Ethics, regardless of disability or notions of human, cultural or social difference.

Duty to Report and Inform

Duty to Report and Inform.Ā To ensure that the work of The Ikoku Services reflect its founding mission and purposes by honorably carrying out a duty to promptly report and fully inform the Founder, Alvan Azinna Chibuzo Ikoku, of any apparent violation of or incompatibility with the founding mission or purposes, the Code of Ethics, the Codes and Policies, or equivalent codes, policies, or instruments of The Ikoku Services.

No Conflict or Inconsistency

No Conflict or InconsistencyĀ ā€” Finally, under no circumstances shall any action, activity, decision, operations, resolution, or their equivalent of or with The Ikoku Services, including any conducted while meeting any fiduciary duties or standards of care or conduct, be in intentional violation of or incompatible with the following:

Applicable Law or Regulation
any applicable provision of state, federal or international law or mandatory guidelines or regulations.
Confidentiality and Privacy Protections
the most robust protections of confidentiality and privacy and the strictest interpretations of confidentiality and privacy laws, as they are delineated in state, federal and international statutes and in the founding and governance documents and policies of The Ikoku ServicesĀ and its divisions, series, and subsidiaries.
Duties, Protections, and Requirements for Consent
the duties, principles, protections, requirements, responsibilities, and rights pertaining to obtaining and maintaining express, informed and written consent as defined, described and delineated by The Ikoku ServicesĀ for any action, activity, communication, meeting, operation, or other process involving two or more persons, including any evaluations or proceedings, and for providing regular, clear, written and fully informing and signed reports of such evaluations and proceedings to all parties involved.
Code of Ethics and Founding Agreement
any provision of the above Code of Ethics, the Codes and Policies, and the Founderā€™s Operating Agreement of The Alvan Ikoku Group LLC, or equivalent codes, policies, or instruments of The Ikoku Services.

And furthermore, by accessing, communicating, engaging, monitoring, transmitting, or otherwise using or visiting, in any way, The Ikoku Services, any part or section of The Ikoku Services, any part or section of the divisions, series, subsidiaries, or affiliates, as well as any part or section of the Products or Services, you accept and agree to the terms, conditions, and requirements described above, in the Code of Ethics, and in these Codes and Policies, in their entirety without modification.
