On Members and Voting

Overview

Certain operations and programs at The Ikoku Services have as part of their purposes the aim to enhance engagement and participation in communities, publics and societies. So it is important to make clear the place, role and scope of membership, voting and decision-making as they pertain to the division, its assets and properties, and its management and operation.

Therefore, persons engaged in activity within, for, on behalf of, in reference to and otherwise pertaining to The Ikoku Services are expected to uphold the following:

Private and Single-Interestholder Status

— that The Ikoku Group and The Ikoku Services be private in status, including with respect to company, corporate, divisional and organizational form and formation, administration, management and operation as well as interests, share and stock distribution.

— that The Ikoku Group and The Ikoku Services be single-member in status, including with respect to company, corporate, divisional and organizational form and formation, administration, management and operation as well as interests, share and stock distribution.

— that The Ikoku Group and The Ikoku Services be single-interest-, share- and stockholder in status, including with respect to company, corporate, divisional and organizational form and formation, administration, management and operation as well as interests, share and stock distribution.

— that the sole interest-, share- and stockholder and member of The Ikoku Group and The Ikoku Services be Alvan Azinna Chibuzo Ikoku, its Founder and Owner.

On Members

— that The Ikoku Services have no Directors except persons formally appointed and approved by expressly written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, its Founder and Owner, as described in pertinent governance documents.

— that The Ikoku Services have a single Member, Alvan Azinna Chibuzo Ikoku, its Founder and Owner.

On Voting

— that The Ikoku Group provide no voting powers to any person or entity other than those accorded by expressly written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, its Founder and Owner, and only to Directors appointed as described above.

— that such above powers be only those delineated and restricted by pertinent company Articles and Certificates of Formation, Operating Agreements and ByLaws signed and sealed by Alvan Azinna Chibuzo Ikoku, its Founder and Owner.

On Decision-Making

— that The Ikoku Services provide no decision-making powers to any person or entity other than those accorded via expressly written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, its Founder and Owner, and only to Directors appointed as described above.

— that such above powers be only those delineated and restricted by pertinent company Operating Agreements and ByLaws signed and sealed by Alvan Azinna Chibuzo Ikoku, its Founder and Owner.

Vote and Decision Approval

— that The Ikoku Services ensure that all such votes and decisions require authorization and final approval by expressly written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, its Founder and Owner.

Accordance with Ethics

— that The Ikoku Services ensure following the above principles further remains in accordance with the Codes and Policies and especially the Founding and Governing Code of Ethics.

Provision

As stated earlier, The Ikoku Services User Agreement and Code of Conduct consist of several Codes and Policies that collectively govern all of your activity with, within, for or pertaining to The Ikoku Services (as well as its divisions, series, subsidiaries and affiliates). By continuing, you indicate that you understand that these Codes and Policies include — but are not limited to — the Founding and Mission Statement, the Founding and Governing Code of Ethics, the Policy on Company and Division Integrity, the Policy on Independence and Freedoms, the Policy on Privacy and Confidentiality, the Terms and Conditions of Use and Service, and the Acceptable Uses Policy along with all Associated Codes and Policies. The Ikoku Services strongly recommends you develop and maintain your knowledge of all the Codes and Policies, and so asks that you read, understand and regularly visit this page and other communications regarding the Policy on Members and Voting, as well as the Codes and Policies. The Ikoku Services takes your continued visiting and use of its Products and Services, including its Sites, as active indication of your knowledge, understanding, legally binding acceptance and agreement.

Your Duty to Company Integrity

To protect the company and organizational integrity of The Ikoku Group and The Ikoku Services — as well as the properties, rights and protections of the company, division and their official persons — The Ikoku Services requires all natural and legal persons concerned to read, understand, abide by and, where applicable, sign contracts and agreements delineated and described in the Policy on Company and Division Integrity.

The Ikoku Services reminds you that the Policy on Company and Division Integrity forms part of The Ikoku Services User Agreement and Code of Conduct. Thus, The Ikoku Services takes your continued visiting and use of its Products and Services, including its Sites, as active indication of your legally binding acceptance of this Policy as well as the Codes and Policies.
